Terms of Service.

For purposes of these Terms of Service, the following definitions apply:

• "EDGR," "we," "us," or "our" refers to the sole proprietor operating the EDGR financial news aggregation service, located in Florida, United States, reachable at info@edgr.news.
• "Service" means the EDGR web application accessible at https://edgr.news, including any associated email newsletters sent from news@mail.edgr.news, and the optional Discord community at https://discord.gg/bYbQ4CM2w.
• "User," "you," or "your" refers to any individual who accesses, registers for, or uses the Service.
• "Account" means a registered user profile created by providing an email address, password, and completing two-factor authentication enrollment.
• "Newsletter" means the automated email digests of AI-summarized financial news delivered to users based on their watchlist and schedule preferences.
• "Watchlist" means the collection of ticker symbols and associated names a user creates and manages within the Service.
• "Content" means all text, data, summaries, analyses, or other material made available through the Service.

You must be at least 18 years of age to use the Service. By creating an Account, you represent and warrant that you are 18 or older and that you have the legal capacity to enter into a binding agreement under the laws of your jurisdiction. If you are accessing the Service on behalf of another individual, you represent that you have authority to bind that person to these Terms.

EDGR does not knowingly permit individuals under 18 to register. If we become aware that a user is under 18, we will terminate the Account promptly.

3.1 Account Security

You are solely responsible for maintaining the confidentiality of your password and for all activity that occurs under your Account. The Service requires two-factor authentication (TOTP authenticator app or email one-time password) as a condition of use. You agree to:

• Choose a strong, unique password and not reuse it across other services.
• Keep your 2FA device, authenticator app, and recovery codes secure and confidential.
• Log out of your Account when using shared or public devices.
• Notify us immediately at info@edgr.news if you suspect unauthorized access to your Account.

3.2 No Account Sharing

You may not share your Account credentials with any other person or allow any third party to access the Service using your Account. Each Account is for a single individual only.

3.3 Accurate Information

You agree to provide accurate, current, and complete information at registration and to keep that information updated. Providing false information may result in termination of your Account.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Republish or redistribute the newsletter content or any AI-generated summaries for commercial purposes, including resale, sublicensing, or redistribution to third parties.
• Scrape, crawl, or automate signups, logins, or any interaction with the Service using bots, scripts, or other automated tools.
• Abuse rate limits or attempt to circumvent any throttling, lockout, or CAPTCHA mechanism implemented by the Service.
• Reverse engineer the Service, attempt to decompile or disassemble any portion of the platform, or probe for vulnerabilities without prior written authorization.
• Attempt to bypass security measures, including but not limited to 2FA requirements, session controls, or IP-based restrictions.
• Use the Service for any illegal purpose or in violation of any applicable local, state, national, or international law or regulation.
• Transmit or upload any malware, harmful code, or material that could damage, disable, or impair the Service or other users' systems.
• Impersonate any person or entity or falsely claim an affiliation with any person or organization.

Violation of this section may result in immediate Account suspension or termination, and we reserve the right to report unlawful conduct to appropriate authorities.

The Service is provided on a best-effort basis. We do not guarantee uninterrupted, error-free, or timely delivery of the newsletter or any other feature. Specifically:

• We make no representations regarding uptime, availability, or delivery latency.
• We reserve the right to modify, suspend, or discontinue any feature or the entire Service at any time, with or without notice.
• Scheduled email delivery times are approximate and may be delayed due to factors outside our control, including third-party email infrastructure, news source availability, or AI processing queues.
• We are not liable for any loss or inconvenience caused by downtime, data loss during service interruptions, or discontinuation of the Service.

No service level agreement (SLA) is provided under these Terms.

Specifically:

• No investment advice. No Content on the Service should be construed as a recommendation, solicitation, or offer to buy, sell, or hold any security, financial instrument, or investment product.
• Not a registered adviser. EDGR is NOT a registered investment adviser, broker-dealer, financial planner, or commodity trading adviser under any federal or state law, including the Investment Advisers Act of 1940. No registration has been made, and no exemption is claimed.
• No fiduciary relationship. Your use of the Service does not create any fiduciary, advisory, or professional relationship between you and EDGR.
• Past performance. Historical data, past performance of securities, and prior news coverage presented through the Service do not guarantee or predict future results. All investments involve risk, including the possible loss of your entire principal.
• Forward-looking statements. Any forward-looking statements appearing in summarized news content involve known and unknown risks, uncertainties, and other factors that may cause actual results to differ materially. EDGR makes no representations about the accuracy of such statements.
• Coverage gaps. The Service may have incomplete, delayed, or missing coverage for small-cap and micro-cap securities. Do not rely on the Service as your sole source of information for any investment decision.
• AI limitations. News summaries are generated by artificial intelligence. AI systems can make errors, omit material information, or mischaracterize source content. You should always consult primary sources.
• Your responsibility. You are solely and exclusively responsible for all investment and financial decisions you make. EDGR has no knowledge of your financial situation, risk tolerance, investment objectives, or tax circumstances.
• Consult a professional. Always consult a licensed financial advisor, broker, attorney, or other qualified professional before making any investment decision.

The Service aggregates and summarizes content from third-party news sources, financial data providers, and public information. EDGR does not author, endorse, or verify the accuracy, completeness, or timeliness of any third-party content. We make no warranty, express or implied, that any news summary, price data, or financial information provided through the Service is accurate, current, or free from error. Third-party sources are beyond our control, and we are not responsible for changes to, unavailability of, or errors in their content.

8.1 EDGR's Content

All original content, software, design elements, branding, and materials created by EDGR and displayed through the Service are the intellectual property of EDGR and are protected by applicable copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works from EDGR's original content without prior written permission.

8.2 Your Watchlist Data

You retain all rights to the watchlist names and ticker symbols you enter into the Service. By using the Service, you grant EDGR a limited, non-exclusive license to store and process your watchlist data solely for the purpose of delivering the Service to you. We do not claim ownership over your watchlist data and will not use it for any purpose beyond service delivery.

8.3 Third-Party Sources

News content aggregated from third-party sources remains the property of those respective sources. EDGR's AI-generated summaries are transformative in nature, but you should be aware that source content may be subject to third-party intellectual property rights.

9.1 By You

You may terminate your Account at any time by navigating to the Account page and selecting "Delete Account." This action is irreversible. Upon deletion, your personal data will be removed as described in the Privacy Policy.

9.2 By EDGR

We reserve the right to suspend or terminate your Account, with or without prior notice, if we believe you have violated these Terms, engaged in fraudulent or abusive conduct, or for any other reason at our discretion.

9.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. Sections 6, 8, 10, 11, 13, 14, and 15 survive termination.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

EDGR EXPRESSLY DISCLAIMS ANY AND ALL LIABILITY FOR:

• INVESTMENT LOSSES, TRADING LOSSES, OR ANY FINANCIAL HARM ARISING FROM YOUR RELIANCE ON THE SERVICE OR ANY CONTENT THEREIN;
• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND;
• LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL;
• DAMAGES RESULTING FROM SERVICE INTERRUPTION, DELAYS IN DELIVERY, OR UNAUTHORIZED ACCESS TO YOUR ACCOUNT.

EDGR'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) ZERO DOLLARS ($0.00) OR (B) THE TOTAL FEES, IF ANY, PAID BY YOU TO EDGR IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN FULL.

You agree to defend, indemnify, and hold harmless EDGR and its affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of or inability to use the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights or privacy rights; or (d) any claim that your conduct caused damage to a third party. EDGR reserves the right to assume exclusive control of any matter subject to indemnification, at your expense.

We may update these Terms at any time. When we do, we will provide notice by sending an email to the address associated with your Account, or by displaying a prominent banner within the Service, or both. The updated Terms will indicate the revised "Last updated" date at the top of this document. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and delete your Account.

These Terms and any dispute arising out of or relating to them or the Service shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located in Florida for any matters not subject to arbitration under Section 14.

14.1 Informal Resolution

Before initiating any formal proceeding, you agree to attempt in good faith to resolve any dispute with us informally by contacting info@edgr.news and providing written notice of the nature of the dispute and the relief sought. We will attempt to respond within 30 days. If the dispute is not resolved within 60 days after your notice, either party may proceed to arbitration.

14.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, as then in effect. The arbitration shall be conducted in Florida, United States, or remotely if both parties agree. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.3 Class Action Waiver

YOU AND EDGR EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

If this waiver is found unenforceable for a particular claim, that claim shall be severed and litigated in court while all other claims proceed in arbitration.

14.4 Exceptions

Nothing in this section prevents either party from seeking emergency injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights or prevent imminent harm.

15.1 Severability

If any provision of these Terms is found by a court or arbitrator to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, it will be severed. The remaining provisions of these Terms will remain in full force and effect.

15.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and EDGR regarding your use of the Service and supersede all prior agreements, representations, warranties, and understandings, whether written or oral, relating to the same subject matter.
